Terms & Conditions

These Terms & Conditions explain the general rules for accessing the Ecolods (TPS) website, contacting us, requesting proposals and engaging us for IT consulting, website development, mobile applications, custom software, eCommerce, ERP, integrations, hosting coordination and related technology services. A signed proposal, statement of work, order form or service agreement may contain additional terms for a specific engagement.

Effective date: 20 October 2026   ·   Last updated: 20 October 2026

Important: These website terms are a general framework. The terms in a signed proposal, work order, subscription plan or separately executed agreement will govern the specific project where they expressly differ. Please review the applicable commercial documents before making a payment or starting a project.

1. Scope and acceptance

These Terms & Conditions (“Terms”) apply to your access to and use of www.ecolods.com and to enquiries or services supplied by Ecolods (TPS). (“Ecolods (TPS)”, “we”, “us” or “our”), except where a separate written agreement states otherwise. “You” or “Client” means the person or organization using the website or engaging our services.

By browsing the website, submitting an enquiry, accepting a proposal, placing an order, paying an invoice or using a service, you acknowledge these Terms to the extent applicable. If you act for a company or other organization, you confirm that you are authorized to act on its behalf.

2. Definitions and contract documents

  • Services: IT consulting, discovery, design, development, customization, integration, deployment, maintenance, support, subscriptions and other services described in an accepted proposal or order.
  • Deliverables: the agreed software, code, designs, documentation, reports, configurations or other outputs identified in the applicable scope.
  • Third-party services: products, APIs, platforms, hosting, payment gateways, SMS/WhatsApp tools, maps, logistics systems, app stores or other services controlled by a third party.
  • Project documents: an accepted proposal, quotation, statement of work, purchase order accepted by us, subscription order or signed agreement.

Where documents conflict, the following order applies unless the signed agreement says otherwise: (1) a separately signed agreement, (2) the accepted project scope or order, (3) these Terms, and (4) general website content or marketing material. A purchase order does not change these Terms unless we expressly accept the change in writing.

3. Services and deliverables

Ecolods (T{S}) offers technology services that may include website and eCommerce development, Android and iOS applications, custom business applications, CRM, HRMS/payroll, POS billing, WMS, parking management, courier and logistics systems, API integrations, cloud or server coordination, digital solutions and IT consultation. Availability and exact scope depend on the proposal and resources agreed for each project.

Only the features, integrations, platforms, milestones and deliverables expressly included in the accepted project documents are part of the engagement. Demonstrations, sample screens, estimates and marketing descriptions are illustrative unless explicitly incorporated into the agreed scope. Additional functionality, migration, data cleansing, training, content entry, licences or third-party charges may require a separate quotation.

4. Client responsibilities

The Client will provide accurate requirements, timely decisions, authorized contacts, content, branding assets, credentials, test data and other materials reasonably needed to perform the Services. The Client is responsible for ensuring that it has the rights and permissions needed for any material or data it supplies.

  • Review designs, test builds and milestone submissions within the time agreed by the parties.
  • Provide lawful instructions and obtain required permissions, notices and consents from its staff, customers, users or other data subjects.
  • Maintain secure control of its own accounts and credentials, and promptly inform us of suspected compromise.
  • Keep appropriate backups of Client-managed systems and data unless backup services are specifically included in the contract.
  • Ensure that its use of the deliverables complies with applicable laws, licences, platform policies and industry requirements.

Delays caused by missing information, approvals, access, payment or third-party action may affect delivery dates and costs. We will communicate material impacts where reasonably practicable.

5. Proposals, acceptance and change requests

Quotations and proposals are valid for the period stated in them or, if no period is stated, for 30 days from issue, subject to correction of obvious errors and availability of resources. Work begins after the required acceptance, initial payment and project inputs are received, unless the parties agree otherwise in writing.

Requests that change the approved scope, specifications, integrations, user roles, reports, platforms, deadlines or acceptance criteria are change requests. We may assess the impact on price, schedule and dependencies before proceeding. Work on a change request starts after written approval of the revised scope and any applicable fee.

6. Fees, invoices and taxes

Fees, payment milestones, subscription periods, renewal charges, support rates and included usage are set out in the applicable proposal, invoice or order. Unless a project document states otherwise, invoices are payable by the due date shown on the invoice. Applicable taxes, including GST, will be charged as required by law.

  • Third-party charges such as hosting, domain registration, cloud usage, SMS/OTP, WhatsApp, payment gateway, map/API usage, app-store accounts, licences and marketplace fees are excluded unless specifically included in writing.
  • Where payment is overdue, we may give notice and suspend work or access if the overdue amount remains unpaid, subject to the applicable agreement and law.
  • Any billing dispute should be raised promptly in writing with the invoice number and supporting details. The undisputed portion remains payable by its due date.
  • Refunds, cancellation fees, deposits and milestone payments are governed by the accepted proposal, subscription terms and applicable law. No blanket refund rule overrides a specific written agreement or a mandatory legal right.
  • Where applicable, the Client is responsible for withholding taxes and providing the required certificates or documentation.

7. Timelines, testing and acceptance

Project schedules are estimates based on the agreed scope, timely Client inputs, approvals and third-party dependencies. We will use reasonable efforts to meet agreed milestones, but dates may change where dependencies or circumstances outside our reasonable control cause delay.

Where an acceptance period is stated in the project documents, the Client should test and report reproducible deviations from the agreed specifications within that period. We will review valid reported issues and address them according to the agreed scope. If no acceptance process is specified, the parties should agree one in writing; silence alone will not remove any non-waivable statutory rights.

8. Intellectual property and ownership

Each party retains ownership of intellectual property it owned or developed independently before the project. Ecolods (TPS) retains rights in its pre-existing tools, libraries, frameworks, reusable components, methods, know-how and generic improvements. Third-party software remains subject to its own licence terms.

Ownership or licensing of project-specific source code, designs, documentation and other deliverables will be as stated in the accepted proposal or signed agreement. Unless a written buyout or assignment expressly provides otherwise, payment for development does not by itself transfer ownership of Ecolods (TPS) pre-existing materials or third-party components. Any transfer of project-specific rights may be conditional on full payment.

The Client grants Ecolods (TPS) a limited right to use Client-provided materials only as needed to perform the Services. We will not use confidential Client materials publicly except with permission or as permitted by the applicable agreement. Use of the Client’s name or logo in a portfolio or case study requires prior permission unless the parties agree otherwise.

9. Client data, privacy and security

Each party must comply with applicable data protection and privacy laws in relation to its role. Our Privacy Policy explains how we handle personal data collected through our public website and business interactions. Where a software solution processes personal data on behalf of a Client, the parties should document their respective roles, instructions, security requirements, retention, deletion, incident handling and any required data-processing terms in the project agreement.

The Client is responsible for the legality, accuracy and permissions associated with data it uploads or instructs us to process, including employee, customer, delivery, location, attendance, financial or identity information. We will handle such data according to the agreed scope, documented instructions and applicable law. Neither party should send unnecessary sensitive personal information through general enquiry forms or unsecured channels.

We apply reasonable security measures appropriate to the service, but no system can be guaranteed to be completely secure. Unless specifically included in the contract, Ecolods (TPS) does not assume responsibility for independent systems, credentials or backups controlled by the Client or third parties.

10. Third-party services and integrations

Projects may depend on third-party platforms, including cloud and hosting providers, domain registrars, app stores, payment gateways, banks, SMS or WhatsApp providers, mapping tools, logistics aggregators, accounting packages, marketplaces and external APIs. Their terms, pricing, availability, security practices and technical requirements are controlled by those providers.

We may assist with integration where included in the scope, but we cannot guarantee that a third party will approve an account, maintain an API, preserve pricing, remain available or continue a feature. The Client is responsible for its third-party accounts, required authorizations and charges unless the project documents expressly say otherwise.

11. Hosting, availability and maintenance

Hosting, domains, server administration, backups, monitoring, uptime commitments, disaster recovery, maintenance windows and support response times are included only if specified in the relevant order or service-level agreement. Where a third-party provider supplies infrastructure, its service terms and incidents may affect availability.

We may perform planned maintenance, security updates or changes needed to protect a system. Where practical, we will provide advance notice of material planned interruptions. We do not promise uninterrupted service unless a specific written service-level commitment applies.

12. Acceptable use and prohibited conduct

You must not use our website, services or deliverables to violate law or another person’s rights. You must not attempt unauthorized access, disrupt or overload systems, introduce malware, bypass security controls, scrape or extract data without authorization, send spam, impersonate another person, infringe intellectual property or use a service for fraud or unlawful surveillance.

You must not reverse engineer or redistribute proprietary components except to the extent expressly permitted by law, the applicable licence or our written agreement. We may investigate credible misuse and take proportionate steps, including restricting access or suspending affected services, where reasonably necessary and lawful.

13. Warranties and disclaimers

We will perform contracted professional services with reasonable care and skill. Any specific warranty, defect-correction period, support commitment or performance metric must be stated in the applicable project documents.

To the maximum extent permitted by law, general website content and preliminary estimates are provided for information and do not constitute a guarantee of a particular business outcome, search ranking, sales volume, compatibility with every device, uninterrupted availability or approval by an external platform. We do not exclude any warranty or consumer right that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by applicable law and subject to the specific project agreement, neither party will be liable to the other for indirect or consequential losses, loss of anticipated profit, revenue, goodwill or business opportunity arising from the engagement. This clause does not apply where such exclusion is prohibited by law.

Any monetary cap on liability must be expressly stated in the applicable signed agreement. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury where liability cannot legally be limited, or any other liability that applicable law does not permit the parties to exclude or restrict.

15. Indemnity

Each party will be responsible for claims, losses or liabilities to the extent caused by its own unlawful conduct, breach of the applicable agreement, or infringement of third-party rights. The Client is responsible for claims arising from materials, instructions, data or content it supplies where it lacked the necessary rights or permissions. Any broader indemnity obligations must be expressly agreed in the relevant contract and will be subject to applicable law.

16. Suspension and termination

The duration, renewal, cancellation notice and termination rights for a project or subscription are set out in the relevant order or agreement. If no special procedure is stated, either party may give written notice of a material breach and a reasonable opportunity to remedy it, where remedy is possible. A party may terminate as permitted by law if the breach is not remedied or if another lawful termination ground applies.

On termination, the Client must pay for completed work, approved expenses and services supplied up to the effective termination date, together with any expressly agreed cancellation charges that are lawful. Access to hosted services may end in accordance with the contract. Data export, handover, transition assistance, deletion and source-code delivery are governed by the project documents and applicable law. Each party will return or securely dispose of the other party’s confidential information where required, subject to lawful retention and backup processes.

17. Confidentiality

Each party may receive non-public business, technical, financial or operational information from the other. The receiving party will use such information only for the engagement, protect it with reasonable care and disclose it only to personnel or service providers who need it and are subject to appropriate confidentiality obligations, or where disclosure is legally required.

Confidential information does not include information that is public without breach, already lawfully known, independently developed without use of the information, or lawfully received from another source. If legally permitted, a party required to disclose confidential information will give prior notice to the other party.

18. Electronic communications and notices

The parties may communicate by email and other electronic methods agreed for the project. Electronic proposals, approvals and records may be used to document instructions and decisions where permitted by applicable law. Formal legal notices should be sent to the email or postal address identified in the signed agreement or otherwise confirmed by the receiving party.

19. Governing law and dispute resolution

These Terms are governed by the laws of India, subject to mandatory legal protections applicable to the parties. The parties will first try in good faith to resolve a dispute through written discussion between authorized representatives. If the dispute cannot be resolved, it may be referred to the competent courts having jurisdiction under applicable law. Any exclusive venue, arbitration or escalation arrangement should be expressly stated in the signed project agreement.

20. Changes to these Terms

We may update these Terms to reflect changes in our website, services, technology or legal requirements. The updated version will be published on this page with a revised “Last updated” date. Changes will apply prospectively to website use after publication, to the extent permitted by law. Existing projects remain subject to their signed agreements unless the parties agree to a change or applicable law requires otherwise.

21. General provisions

If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent lawful. A party’s failure to enforce a provision immediately does not waive its right to do so later. Neither party may assign a project agreement except as permitted by that agreement or with the other party’s consent, which should not be unreasonably withheld where applicable. Neither party is responsible for delay caused by events beyond its reasonable control, subject to applicable law and the specific contract.
